Terms of Service

These Terms of Service ("Terms") govern your use of the Govyn software, website (govynai.com), and related services ("Service") operated by Govyn ("we", "us", "our"), a company registered in Portugal, European Union. By using the Service, you agree to these Terms.

1. Acceptance of terms

By accessing or using the Service, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of service

Govyn is an open-source AI agent governance proxy that sits between your AI agents and LLM providers. The Service includes:

• Open-source software — the Govyn proxy, available under the MIT License on GitHub.
• Website — govynai.com, including documentation, blog, and marketing pages.
• Cloud service (if applicable) — a managed hosting option for the Govyn proxy.

3. Open-source license

The Govyn proxy software is licensed under the MIT License. You are free to use, modify, and distribute the software in accordance with that license. These Terms govern your use of the website and cloud services, not the open-source software itself, which is governed solely by the MIT License.

4. Account registration

Some features may require you to create an account. You agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your account credentials.
• Notify us immediately of any unauthorized access.
• Accept responsibility for all activity under your account.

5. Acceptable use

You agree not to use the Service to:

• Violate any applicable law or regulation, including EU, Portuguese, and international law.
• Infringe the intellectual property rights of others.
• Transmit malware, viruses, or harmful code.
• Attempt to gain unauthorized access to the Service or its infrastructure.
• Interfere with or disrupt the Service for other users.
• Use the Service in connection with any illegal AI applications, including those prohibited under the EU AI Act.

6. Intellectual property

The Govyn name, logo, website design, and marketing content are our intellectual property. The open-source proxy code is licensed under MIT. You may not use our trademarks without prior written permission, except as required for reasonable and customary use in describing the origin of the software.

7. Cloud service terms

If you use the Govyn managed cloud service:

• Availability — we aim for high availability but do not guarantee 100% uptime. See our SLA (if applicable) for specific commitments.
• Data processing — we process your data as described in our Privacy Policy. For Cloud users, we act as a data processor under GDPR.
• Data portability — you can export your data at any time. Upon account termination, we delete your data within 30 days.
• Backups — we maintain regular backups but recommend you maintain your own copies of critical configuration and policy files.

8. Payment terms

Paid plans are billed monthly or annually as indicated at the time of purchase. All prices are in USD and exclude applicable taxes (including Portuguese IVA / EU VAT where required). We may change pricing with 30 days' notice. You can cancel at any time — cancellation takes effect at the end of the current billing period.

9. Limitation of liability

To the maximum extent permitted by Portuguese and EU law:

• The Service is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claims related to the Service is limited to the amount you paid us in the 12 months preceding the claim.
• Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud, gross negligence, or death/personal injury caused by negligence.

10. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service if you violate these Terms, with reasonable notice where possible. You may terminate your account at any time by contacting us. Sections that by their nature should survive termination (limitation of liability, indemnification, governing law) will survive.

12. Governing law and jurisdiction

These Terms are governed by the laws of Portugal and applicable European Union law. Any disputes arising from these Terms shall be submitted to the courts of Portugal. If you are an EU consumer, you retain the right to bring proceedings in your country of residence under EU consumer protection regulations.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated via email (if you have an account) or by posting a notice on our website at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
